These Terms of Use (“Terms”) govern your access to and use of the Acornote AI mobile application and related services (collectively, the “App,” “Acornote,” or the “Services”), operated by WEI PAN (“WEI PAN,” “we,” “us,” or “our”).

By creating an account, downloading, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

You may not use the Services if applicable law prohibits you from doing so.

If you use Acornote for a school, company, or other organization, you confirm that you are authorized to accept these Terms on its behalf.


2. App Features and Services

Acornote provides tools that help users turn study materials into organized notes and learning resources. Depending on the App version, device, language, region, subscription plan, and service availability, features may include:

4. License to Use Acornote

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the App for your personal, educational, or internal business purposes.

The App is licensed, not sold. We and our licensors retain all rights in the App and Services that are not expressly granted to you.

You may not copy, distribute, rent, lease, sell, sublicense, modify, create derivative works from, reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except where such a restriction is prohibited by applicable law or permitted by an applicable open-source license.

Your use of an App downloaded through an app marketplace may also be subject to that marketplace’s usage rules and standard end-user license terms.


5. Your Content

“Your Content” means materials you create, upload, submit, record, link, or otherwise provide through the Services, including audio, documents, images, scans, text, links, note titles, prompts, and chat messages.

You retain ownership of Your Content. Acornote does not claim ownership of it.

To operate and provide the Services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, format, display, and create technical or AI-generated transformations of Your Content. This license is limited to:

This license continues only for as long as reasonably necessary to provide the Services and meet the retention obligations described in our Privacy Policy.

You are solely responsible for Your Content and for any consequences of exporting, publishing, or sharing it.


6. AI-Generated Content

Some Acornote features use artificial intelligence to generate transcripts, summaries, translations, answers, flashcards, quizzes, mind maps, and other text-based or structured study materials (“AI Output”). AI Output does not include AI-generated images, video, audio, music, animations, or other multimedia.

You understand and agree that:

Do not rely on Acornote for medical, legal, financial, safety-critical, emergency, or other high-risk decisions.

To the extent permitted by applicable law, you may use AI Output generated for you, subject to any rights belonging to third parties and your compliance with these Terms. We do not guarantee that intellectual property rights will arise in AI Output or that any output will be free from third-party claims.

You agree not to use the Services to:

8. Academic and Responsible Use

Acornote is designed to support learning, not to facilitate academic dishonesty.

You are responsible for following the rules of your school, university, employer, professional body, or other institution. You must not use Acornote to cheat, misrepresent authorship, evade an assessment’s rules, or submit AI Output where such use is prohibited.


9. Third-Party Content and Services

The Services may allow you to submit links, access external media, sign in through a third party, make purchases through an app marketplace, or share content with other apps.

Third-party content and services are governed by their own terms and privacy practices. We do not control and are not responsible for:

Your use of third-party content must comply with applicable law and the relevant third party’s terms. Acornote does not grant you rights to download, reproduce, or process third-party content beyond rights you already have.


10. Subscriptions, Purchases, and Billing

Acornote may offer free and paid features, including automatically renewing subscriptions.

Before purchase, the applicable checkout screen will present the price, billing period, trial terms, and other material purchase information. By completing a purchase, you authorize the applicable app marketplace or, for purchases made on our website, our payment provider Paddle, to charge your selected payment method.

Unless otherwise stated at purchase:

Any free trial converts to a paid subscription unless canceled before the trial ends, as disclosed at the time of purchase. You may lose unused trial time when purchasing a subscription.

We may change subscription offerings or prices. Any change to an active subscription will be handled with the notice and consent required by the applicable purchase channel or applicable law.


11. Privacy

Our Privacy Policy explains how we collect, use, store, and share information when you use Acornote. By using the Services, you acknowledge that you have read the Privacy Policy.


12. Intellectual Property

The App, including its software, design, interface, text, graphics, logos, features, and other materials provided by us, is owned by or licensed to Acornote and is protected by applicable intellectual property laws.

“Acornote,” “Acornote AI,” and associated names, logos, and branding may not be used without prior written permission, except as allowed by law.

Feedback you voluntarily provide may be used by us without restriction or compensation to improve and develop the Services, provided that this does not give us ownership of Your Content.


13. Availability, Updates, and Changes

We work to keep Acornote available, but we do not guarantee uninterrupted or error-free operation. The Services may be affected by maintenance, network conditions, device limitations, third-party outages, legal requirements, or events outside our reasonable control.

14. Suspension and Termination

You may stop using Acornote at any time. You may also request account deletion through the in-app account controls.

Deleting the App from your device does not by itself delete your cloud account or cancel an active subscription.

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and quiet enjoyment to the extent such disclaimers are permitted by law.

You should maintain independent copies of important source materials and outputs.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

We may update these Terms to reflect changes to the Services, law, safety requirements, or business practices.

We will revise the “Last updated” date when changes are posted. If a change materially affects your rights, we may provide additional notice through the App, our website, email, or an app store update notice.

Your continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.
